Raya Holding for Financial Investments is hiring a Specialist (Contracts).
What will you do?
1- Draft, review, negotiate, and finalize various commercial agreements.
2- Lead the negotiation of complex contractual arrangements with customers, vendors, and strategic partners.
3- Prepare, review, and negotiate IT-related agreements, including but not limited to:
- Software Development Agreements
- SaaS Agreements
- Cloud Services Agreements
- AI Services Agreements
- Software Licensing Agreements
- System Integration Agreements
- Managed Services Agreements
- Cybersecurity Agreements
- Data Processing Agreements
- Technology Procurement Agreements
4- Draft and negotiate Partnership, Joint Venture, Strategic Alliance, and Collaboration Agreements.
5- Support Mergers & Acquisitions transactions, including:
- NDAs
- Term Sheets
- Letters of Intent
- Share Purchase Agreements
- Asset Purchase Agreements
- Due Diligence Support
- Closing Documentation
6- Identify contractual risks and recommend practical mitigation strategies.
7- Ensure contracts comply with applicable laws, internal governance policies, and regulatory requirements.
8- Provide legal advice to internal stakeholders during commercial negotiations.
9- Participate in cross-functional projects involving Finance, Procurement, Technology, Risk, and Business teams.
10- Maintain contract templates and continuously improve contractual standards.
What will you need?
- Bachelor’s degree in law. (English Section)
- Minimum 5 years of experience in commercial contracts.
- Proficiency in both Arabic and English.
Technical Skills:
- Demonstrated experience in IT Contracts.
- Demonstrated experience in Partnership Agreements.
- Practical exposure to Mergers & Acquisitions transactions.
- Excellent English drafting and negotiation skills.
- Strong legal research and analytical capabilities.
